Proximity Sensor constantly engaged

I have a 98 conv. and I am having some electical problems. I recently had to replace the battery in the keyfob transmitter, and ever since I've had annoying problems:
1. Regardless of the setting of the keyfob transmitter, the car automatically locks and unlocks every time I walk near the vehicle.
2. Walking into the garage with the keyfob in the house, the car still locks and unlocks.
3. The car loses its connection to the keyfob constantly. Every 2 days or so, I have to re-synch the keyfob with the car by holding the lock and unlock buttons for 7 seconds.
4. Twice the alarm has sounded for no apparant reason.

While most of this is cosmetic, I want to make sure that there is not a deeper problem under the surface.

Any comments or suggestions would be greatly appreciated.

My wife had the same problem with her 98 coupe. Took it to the dealer for warranty service and when we picked it up, the same thing happened. The alarm would be set. It didn't matter what we did. We couldn't shut it off. They replaced the FOB twice and finally it stopped. They never explained what the caused it. It was so annoying going into the house with the keys and the horn would beep. HI there,
Well, first, there are 2 conditions that are causing what you are experiencing, pbkahn.
First, the locking and unlocking of the car is due to the switches inside the transmitters not working. This causes the passive system to see the signal all the time.
Second, the receiver is not following the rolling code for the transmitters, so it looses the signal sequencing.
You can resolve both issues, although not cheaply.
First, obtain transmitters for a 2000 model, yes they will work.
Second, obtain a new receiver for the 1998 as it is listed.
The only difference from the 98 to 2000 transmitters, is that there is NO passive function.
Install the receiver and then program your 2 new transmitters.
Your problems will be resolved.
